Terms of Service
Effective: November 3, 2025
1. Agreement to Terms
By using Neuralicity's services or AI agents ("Services"), you agree to these Terms. These Terms apply to all users and customers.
2. Services
2.1 What We Do
Neuralicity builds AI agents that execute the best work of ambitious teams. We capture what makes your operations exceptional, then build agents that run it. Every system built around how you actually operate.
Our agents:
- Handle decisions and actions across your systems
- Execute complex workflows without hand-holding
- Learn from your data only—no cross-customer sharing
- Scale your best practices without drift
- Integrate with your existing tools and processes
2.2 What's Included
Core Services:
- AI Agent Creation: We map your workflows and deploy custom AI agents
- Multi-Channel Support: Channels as included in your tier
- Workflow Automation: From simple tasks to complex multi-step processes
- Intelligence Layer: Decision trees, qualification logic, and routing rules
- Integration Support: Calendar, CRM, and webhook connections
- Optimization: Continuous improvement based on performance data
Standard Configurations:
- Workflows, personas, and integrations as specified in your tier
- Standard integrations (Google/Microsoft Calendar, webhooks, email)
- Optimization cadence based on your plan
Data & Security:
- Enterprise-grade security and encryption
- Your workflows remain your intellectual property
- Optional transcript/recording features (off by default)
- 30-day data retention (configurable)
2.3 What's Not Included (Without Additional Agreement)
- Legal, medical, or financial advice through AI agents
- Payment processing or financial transactions
- Custom code development or complex API integrations
- Real-time human monitoring of all interactions
- HIPAA compliance (unless covered by signed BAA)
- White-label or reseller arrangements
- 24/7 emergency support (unless contracted)
2.4 Your Responsibilities
- Provide accurate workflow details
- Own rights to the processes you share
- Obtain necessary consents for call recording where required
- Review agent configurations before deployment
- Alert us to system changes affecting integrations
- Use Services legally and ethically
2.5 Service Performance
Deployment timelines, response commitments, and uptime targets are defined in your Service Level Agreement based on your selected tier.
3. Your Intellectual Property
3.1 Your Content Stays Yours
Your workflows remain your intellectual property. You grant us a limited license to use them solely to provide Services to you.
We never:
- Use your workflows for other customers
- Sell or share your business processes
- Retain your configurations after termination
- Restrict your ability to export your data
3.2 Our Technology
Our platform, AI technology, and service methodology remain our property. You receive a license to use our technology for your business during your subscription.
3.3 Feedback
If you provide suggestions or feedback, we may use it to improve our Services without obligation to you.
4. Privacy & Data
4.1 Data Processing
We process data according to our Privacy Policy. Key commitments:
- We never sell your data
- Your AI agents learn from your data only
- No cross-customer learning or data sharing
- You control what data is collected and retained
4.2 Security
Enterprise-grade security. Encrypted data, access controls, regular audits. You'll be notified immediately if anything happens.
5. Payments & Billing
5.1 Fees
- Pricing is based on your selected plan and usage
- Fees are due monthly in advance
- Overages billed monthly in arrears
- All fees are non-refundable except as required by law
5.2 Changes
Pricing may adjust with 30 days notice. Your current pricing is locked for your initial term.
6. Warranties & Limitations
6.1 Our Commitments
We provide Services with reasonable skill and care, consistent with industry standards.
6.2 Disclaimers
The services are provided "as is" where legally permitted. We disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
6.3 Limitation of Liability
Our total liability for any claims shall not exceed the amount you've paid us in the 12 months before the claim. We're not liable for indirect, incidental, or consequential damages.
These limitations don't apply to liability we can't limit by law.
7. Term & Termination
7.1 Duration
- Trial Period: As specified in your signup
- Subscription: Month-to-month unless otherwise agreed
- Termination: Either party may terminate with 30 days notice
7.2 Immediate Termination
We may suspend or terminate immediately if you:
- Breach these Terms materially
- Use the Services illegally
- Harm our systems or other users
- Fail to pay fees when due
7.3 After Termination
Upon termination:
- Your access ends immediately
- We'll provide your data for 30 days (export it before then)
- Payment obligations for services used remain
- Confidentiality obligations continue
8. Confidentiality
8.1 Mutual Protection
Both parties protect each other's confidential information. No disclosure without permission.
8.2 Exceptions
This doesn't apply to information that:
- Was already public
- Was independently developed
- Must be disclosed by law
9. Dispute Resolution
9.1 Direct Resolution

9.2 Arbitration
Unresolved disputes: binding arbitration under AAA rules. Small claims court remains available for qualifying disputes.
9.3 No Class Actions
All disputes must be brought individually, not as part of a class action.
10. General Terms
10.1 Entire Agreement
These Terms plus any Order Forms or addendums constitute our complete agreement.
10.2 Changes
Terms may be updated. Material changes: 30 days notice.
10.3 Governing Law
These Terms are governed by Delaware law, without regard to conflict of law principles.
10.4 Severability
If any part of these Terms is invalid, the rest remains in effect.
10.5 No Waiver
Not enforcing a right doesn't waive it.
10.6 Assignment
No assignment without our consent. We may assign in connection with mergers or acquisitions.

- "AI Agents": Automated systems that execute your workflows
- "Services": Our platform, AI agents, and related services
- "Workflows": Your business processes and automation rules
- "Your Expertise": Your unique workflows and business processes
12. Additional Terms for Specific Use Cases
12.1 Healthcare Customers
If you're in healthcare, additional terms apply including BAA requirements. Contact us for healthcare-specific terms.
12.2 Enterprise Customers
Custom enterprise agreements may supersede these standard Terms.
12.3 Beta Features
Features marked "Beta" are provided as-is and may change without notice.
